Terms of Service.
These terms govern your use of MshenguX AI: the agents, the portal, the prepaid credit that pays for them, and the services we sell alongside them. Read together with our Privacy Policy and Refunds & Cancellation Policy.
1. Who we are
MSHENGUX (PTY) LTD, registration number 2023/690008/07, a private company incorporated in the Republic of South Africa, of Stand 786, 57 Sunningdale Crescent, Peach Tree X01, Centurion, Gauteng, 0157, South Africa. In these terms “we”, “us” and “MshenguX” mean that company; “you” means the person or business holding the account.

By creating an account, putting a card on file, or letting an agent run for you, you agree to these terms.
2. What we provide
MshenguX AI is a software service. You choose one or more agents — each a named piece of software that does a defined administrative job — and they run on our platform, talk to you in a chat channel such as Telegram, and act inside limits you set.
The agents available
- Business agents: Accounts Payable, Accounts Receivable, Compliance Clock, Follow-through, Supplier Vetting, Marketing Desk, Buyer, Legal Documents, Website Keeper, Creator Desk.
- Personal and household agents: Household Ledger, Home Employer, Landlord, Stokvel Treasurer, Personal Health, Groceries.
What each one does, and what it typically costs a month, is set out on the agents page and the pricing page.
Services we also sell
- Managed Onboarding — R7 500 once. We connect your systems, tune each agent, train your approver and build one custom skill for you.
- Professional services — readiness sprints, production sprints and embedded engineers, and SAP delivery. These are quoted and contracted separately in writing, at fixed scope and fixed fee.
What an agent will never do
- Send, pay, buy, post or change anything without first proposing it to you in your chat and waiting for a named person to approve it.
- Log in to an account of yours with your password. Connections are made only through the provider’s own consent screen, and you can revoke them in the portal at any time.
- Widen its own limits. What an agent may read, spend and contact is set by you and enforced outside the agent.
Every action an agent takes, and the reason for it, is written to a record you can read and export from the portal at any time.
3. Your account and your approver
You must be 18 or older and legally able to contract. If you sign up for a business, you confirm that you are authorised to bind it.
Every account names an approver: the person whose “yes” releases anything an agent proposes. You are responsible for keeping your portal key, your chat access and your approver’s device secure, and for everything approved on your account. Tell us at once if you think someone else has access.
You are responsible for the accuracy of what you and your agents put into other people’s systems on your approval, and for meeting your own legal, tax and employment obligations. An agent helps you do the work; it does not become the person accountable for it. Nothing an agent produces is legal, tax, accounting or medical advice.
4. Prepaid credit, prices and VAT
How the money works
- Your account holds a prepaid credit balance in South African Rand. Agents draw from it as they work. There is no subscription, no seat fee and no charge for deploying an agent.
- Credit does not expire. It stays on your account until you use it or ask for it back.
- Every new account opens with free credit: R500 for a business, R150 for a household. Free and bonus credit has no cash value and is not refundable; only money you actually paid can be refunded.
- The minimum top-up is R200. Top-ups of R1 000 and above carry bonus credit at the rates published on the pricing page.
- What a Rand of work buys is fixed once a month against the exchange rate and does not change mid-month.
- At a R100 balance your agents warn you in your chat. At zero they pause and wait, and resume where they left off when you top up. You can never go into debt to us.
Prices and VAT
All prices shown on this website are in South African Rand and include VAT at 15%. A tax invoice showing the VAT is issued for every payment and is available in the portal.
The monthly figures on the pricing page are typical ranges at ordinary volumes, not quoted fees. What you actually pay is metered to the cent per run and posted to your Balance tab, usually within the hour. We may change published prices and the credit rate on 30 days’ notice by email; credit already on your balance is not affected.
5. Payment
Card and instant EFT payments are processed by Paystack Payments South Africa. Card details are entered on Paystack’s secure, PCI-DSS compliant page and never reach our servers. We accept Visa and Mastercard, instant EFT, and manual EFT.
- The R5 card check. At sign-up we charge R5 to confirm the card is real and to keep it on file for one-tap top-ups. That R5 is credited straight onto your balance along with your welcome credit.
- Top-ups. Card and instant EFT credit your balance immediately. Manual EFT is credited on the business day we see the payment.
- Automatic top-up is off by default. If you switch it on, you set the balance that triggers it and the amount, and you can switch it off or remove the card at any time in the portal. We will not charge a saved card for any other reason.
- Failed payments. If a payment fails or reverses, the credit is removed from your balance. Nothing further is charged.
Professional services are invoiced separately on the terms in the relevant quotation, payable within 30 days of invoice unless the quotation says otherwise.
6. How you may use the service
Use MshenguX AI lawfully and for its purpose. You may not:
- use it to break any law, or to send unsolicited bulk messages, fraudulent communications or anything designed to deceive a recipient;
- upload material you have no right to, or another person’s personal information you have no lawful basis to process;
- use it to produce content that is unlawful, harassing, defamatory, or that infringes someone’s rights;
- probe, overload, reverse-engineer or resell the platform, or attempt to reach another customer’s data;
- rely on an agent’s output as professional advice, or approve an action you have not read.
AI systems make mistakes. Every material action waits for your approval precisely so that a person checks it first. Check what you approve.
7. Your content and ours
Everything you put into the service — your documents, messages, records and the output your agents produce for you — stays yours. You grant us only the licence we need to run the service for you: to store, process and transmit that material for the purpose of operating your agents.
We do not use your data to train AI models, and our model provider does not either. See the Privacy Policy.
The platform, the agent designs, the software and the MshenguX name and marks remain ours. Nothing here transfers any of it to you.
8. Availability and support
We aim to keep the service available at all times, but we do not guarantee uninterrupted operation. We may take it down for maintenance, and will give notice where we reasonably can.

Where a service level is agreed for an enterprise engagement, it is recorded in that engagement’s own agreement and prevails over this clause.
9. Liability
We provide the service with reasonable skill and care. To the extent the law allows, and except where our liability cannot be limited by law — including for death or personal injury caused by our negligence, or for fraud —:
- the service is provided as it stands, without warranties beyond those given in these terms;
- we are not liable for indirect or consequential loss, loss of profit, loss of business or loss of data; and
- our total liability for any claim is limited to the amount you paid us for the service in the three months before the claim arose.
Nothing in these terms limits any right you have under the Consumer Protection Act 68 of 2008 or the Electronic Communications and Transactions Act 25 of 2002.
10. Ending it
You may close your account at any time, without notice or penalty, from the portal. Every agent is paused, the saved card is removed at once, and your data is deleted after 30 days. Unused credit you paid for is refundable on the terms in the Refunds & Cancellation Policy.
We may suspend or close an account if it is used unlawfully or in breach of clause 6, if a payment is fraudulent, or if we are required to by law. Where we close an account for any reason other than unlawful use, we refund the unused credit you paid for.
11. Changes, law and disputes
We may change these terms. Material changes are notified by email and on this page at least 14 days before they take effect, and the “last updated” date above always shows the current version. If you do not accept a change, close your account and ask for your unused credit back.
These terms are governed by the law of the Republic of South Africa, and the courts of South Africa have jurisdiction.
If something goes wrong, tell us first: sim@mshengux.co.za. We would far rather fix it than argue about it, and most things are settled in a day. You keep every right you have under South African law, including to approach the National Consumer Commission or a court.
